Welcome to Klarisa's Studio ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website and services, including the purchase of custom embroidery products through our Shopify store. By accessing or using our website, you agree to be bound by these Terms.

1. Online Store Terms

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you violate any laws in your jurisdiction in the use of our services.

2. Products and Custom Orders

All of our embroidery products are custom-made. Because of the personalized nature of custom embroidery:

Customers are responsible for reviewing and approving all design details before submitting an order.
We are not responsible for errors in spelling, colors, or sizing that were approved by the customer.
Slight variations in color, stitching, and placement may occur and are considered normal in custom embroidery.

We reserve the right to refuse any custom order that includes content we consider inappropriate, offensive, or that infringes on intellectual property rights.

3. Pricing and Payment

All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to modify or discontinue products at any time.

Payment is due at the time of purchase. Orders will not be processed until payment has been received and confirmed.

4. Shipping and Delivery

Processing times for custom embroidery orders vary depending on order size and complexity. Estimated processing and shipping times are provided for reference only and are not guaranteed.

We are not responsible for delays caused by shipping carriers, customs, or events beyond our control.

5. Returns, Refunds, and Exchanges

Due to the custom nature of our products, all sales are final unless the item arrives damaged or defective.

If you receive a damaged or defective item, you must contact us within [7] days of delivery with photos and a description of the issue. We will review the claim and may offer a replacement or refund at our discretion.

We do not accept returns or exchanges for customer errors in submitted designs or sizing.

6. Wholesale Terms

Wholesale accounts must be approved by Klarisa's Studio and are intended for resale or large-volume business purchases only.

Minimum Order Quantities (MOQ): Wholesale orders are subject to a minimum order quantity of 12 units per order. Orders that do not meet the MOQ may be declined or repriced at retail rates.

Pricing & Payment: Wholesale pricing is confidential and provided upon approval. Pricing may be structured in volume-based tiers (for example: 12–23 units, 24–47 units, and 48+ units), with increased discounts applied to higher quantities. For large wholesale orders, an upfront payment of 80% is required prior to production, with the remaining balance due before shipment. Full payment is required prior to production unless alternative payment terms are agreed to in writing. Deposits, if required, are non-refundable once production has begun.

Turnaround Time: Standard wholesale turnaround time is 10–21 business days after final design approval and receipt of payment. Larger or more complex orders may require additional production time. Estimated timelines are provided for reference and are not guarantees, as production schedules may vary based on order size, complexity, and workload.

Rush Orders: Rush production may be available on a limited basis. Customers must contact Klarisa's Studio via email to request rush service and confirm availability and rush order dates. Rush fees may apply. While we strive to meet all timelines, turnaround estimates are not guarantees.

Design Approval & Proof Policy: Digital proofs are provided for customer approval prior to production. Customers are responsible for carefully reviewing all proofs for accuracy, including spelling, sizing, colors, and placement. Written approval of the proof constitutes final authorization to proceed. Klarisa's Studio is not responsible for errors approved by the customer.

Sample Stitch-Out Policy: For new or complex designs, a sample stitch-out may be produced for approval before full production. Sample stitch-outs may require additional fees and production time. Approval of a stitch-out sample constitutes acceptance of the design for final production.

Order Changes & Cancellations: Changes or cancellations must be requested in writing. Once production has begun, orders may not be canceled or modified. Any approved changes may result in additional fees and revised timelines.

Final Sale: Due to the custom and bulk nature of wholesale production, all wholesale orders are final. Returns or exchanges are accepted only in cases of verified manufacturing defects.

Reorders: Reorders of previously approved designs are subject to available production time slots and are scheduled similarly to rush or standard orders depending on availability. Expedited reorder requests may incur rush fees.

Wholesale clients are responsible for confirming all order details, including quantities, sizes, colors, and artwork approvals prior to production.

7. Color & Material Variations

Due to differences in lighting, monitor calibration, and manufacturing availability, thread colors may vary slightly from digital images. We use premium embroidery threads; however, if a specific color is discontinued or temporarily unavailable, a comparable thread color may be substituted at our discretion to preserve the overall quality and integrity of the design.

8. Care Instructions Disclaimer

Care instructions are provided as general guidelines. While our embroidered garments are designed for everyday wear, we are not responsible for damage caused by improper washing, drying, or handling that differs from the recommended care instructions.

9. Intellectual Property

Customers must have the legal right to use any logos, trademarks, or copyrighted materials submitted for embroidery. By submitting artwork, you represent that you own or have permission to use the content.

We are not liable for intellectual property disputes arising from customer-submitted materials.

All website content, including images, text, and designs created by Klarisa's Studio, is the property of the Company and may not be used without written permission.

10. Limitation of Liability

To the fullest extent permitted by law, Klarisa's Studio shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our products or services.

Our total liability for any claim related to a purchase shall not exceed the amount paid for the product in question.

11. Privacy

Your submission of personal information through the store is governed by our Privacy Policy. Please review our Privacy Policy for more information on how we collect and use your data.

12. Changes to Terms of Service

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the website. Continued use of the site constitutes acceptance of those changes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to conflict of law principles.
